Advise and counsel on business matters for all types of entities of sizes ranging from 2 employees to 5,000 employees.
Mergers and Acquisitions:
Experience in mergers and acquisitions, including asset acquisitions, stock acquisitions, and tax free mergers and reorganizations. Representation of both Seller and Buyer in transactions from $100,000 to $100,000,000.
Entity Formation:
Experience in the formation and operation of all types of business entities (corporations, partnerships, limited partnerships, limited liability companies, professional corporations, and professional associations)
Employee Benefits:
Advise and counsel to business employers regarding all types of employee relations matters, including hiring and firing of employees, contractual arrangements with employees, employee benefits (health and retirement), profit sharing plans, defined benefit plans, inclusive of ESOPs, KSOPs, VEBAs, and Flexible Benefit Plans; employee discrimination matters, matters with independent contractors.
Estate Planning:
Experience in representing clients in all areas of estate planning, including wills, trusts, powers of attorney, retirement benefits planning.
Trust and Probate Law:
Experience in advising clients in Trusts, probate proceedings.
