Estate Planning:

Comprehensive assistance to clients in connection with the transfer of property during lifetime and at death. Services include the preparation of wills; various types of trusts, including revocable living trusts, irrevocable trusts, life insurance trusts, charitable remainder trusts, and charitable lead trusts; powers of attorney, including durable powers of attorney for health care; directives to physicians, commonly known as living wills; family limited partnerships and other business and investment entities; and private foundations. Estate planning for closely-held business interests include the use of corporate recapitalizations, buy-sell agreements, and other structural planning.

Business and Corporate Law:

Services include the formation of all types of business entities such as corporations, partnerships, limited partnerships, limited liability companies, professional corporations, and professional associations. Advice is given regarding operational and legal issues on a day to day basis and maintenance of corporate records. Representation in connection with the acquisition and disposition of businesses through mergers, asset acquisitions, stock acquisitions, tax free mergers and exchanges, and reorganizations.

Taxation Law:

Services include advice regarding tax issues involving individual, business, and estate planning through a consideration of federal income, estate, gift, and generation-skipping taxes, and state and local franchise and sales taxes. Preparation of gift, estate, and generation-skipping tax returns.
