Advise and counsel on business matters for all types of entities of sizes ranging from 2 employees to 5,000 employees
Experience in mergers and acquisitions, including asset acquisitions, stock acquisitions, and tax free mergers and reorganizations. Representation of both Seller and Buyer in transactions from $100,000 to $100,000,000
Experience in the formation and operation of all types of business entities (corporations, partnerships, limited partnerships, limited liability companies, professional corporations, and professional associations)
Advise and counsel to business employers regarding all types of employee relations matters, including hiring and firing of employees, contractual arrangements with employees, employee benefits (health and retirement), employee discrimination matters, matters with independent contractors
Experience in representing clients in all areas of estate planning and probate, including wills, powers of attorney, trusts, retirement benefit planning, and probate proceedings
Experience in representation of employers and their employee benefit plans, including profit sharing plans, defined benefit plans, ESOP's, KSOP's, VEBA's, and cafeteria plans.
